Terms of Service

Please read these Terms of Service (“Terms”) carefully. By accessing or using the Brightr Travel platform, any associated white-label applications, the website at www.brightrhq.com, or any related services (collectively, the “Platform”), you agree to be bound by these Terms and all terms incorporated by reference. If you do not agree to all of these Terms, do not use the Platform.

The Platform is owned and operated by Beacon Mobile, Inc., a Delaware corporation (“Beacon Mobile,” “we,” “us,” or “our”). The Platform is licensed to community organizations, destination marketing organizations, Main Street programs, municipalities, and other partners (each, a “Partner”) who use it to deliver consumer-facing experiences for their communities. These Terms govern your use of the Platform as a consumer. If you are a Partner, your use of the Platform is governed by your separate agreement with Beacon Mobile.

1. Changes to These Terms

Beacon Mobile reserves the right to modify these Terms at any time in its sole discretion. Changes are effective immediately upon posting to the Platform. Your continued use of the Platform after posting constitutes acceptance of the revised Terms. If you do not agree to any revised Terms, you must stop using the Platform. We encourage you to review these Terms periodically.

2. Eligibility

2.1 General Browsing. You may browse event listings, business directories, and other publicly available content on the Platform without creating an account. You must be at least thirteen (13) years of age to access or use the Platform in any capacity. If you are under thirteen (13), you may not use the Platform or provide any personal information through it.

2.2 Account Registration. You must be at least thirteen (13) years of age to create an account on the Platform. An account is required to participate in digital passport programs, scavenger hunts, challenges, milestones, rewards programs, and certain other interactive features. By creating an account, you represent and warrant that you are at least thirteen (13) years of age. If you are between thirteen (13) and seventeen (17) years of age, you represent that you have your parent’s or legal guardian’s permission to create an account and use these features.

2.3 Ticket Purchasing and Payments. You must be at least eighteen (18) years of age to purchase tickets or make any payment through the Platform. By completing a purchase, you represent and warrant that you are at least eighteen (18) years of age and have the legal authority to enter into the transaction and use the payment method provided.

2.4 SMS Messaging Program. You must be at least eighteen (18) years of age to opt in to any SMS messaging program operated through the Platform. Account creation does not constitute enrollment in any SMS program. SMS enrollment requires a separate, affirmative opt-in as described in Section 8. By opting in, you represent and warrant that you are at least eighteen (18) years of age.

3. Account Terms

3.1 Account Creation. To create an account, you must provide your name and mobile phone number. Your phone number is collected for account identification and login purposes only; providing your phone number during account creation does not enroll you in any SMS messaging program and will not result in marketing or promotional text messages.

3.2 Account Security. You are responsible for maintaining the security of your account and any credentials associated with it. Beacon Mobile will not be liable for any loss or damage resulting from your failure to maintain account security.

3.3 Accuracy. You must provide accurate and complete information when creating your account and keep your information current. Beacon Mobile reserves the right to suspend or terminate accounts that contain inaccurate or incomplete information.

3.4 Prohibited Uses. You may not use the Platform for any illegal or unauthorized purpose. Accounts registered by bots or other automated methods are not permitted. You must not, in your use of the Platform, violate any applicable law, rule, or regulation, including without limitation intellectual property laws.

4. Description of the Platform

4.1 Overview. The Brightr Travel Platform enables consumers to discover and engage with local events, attractions, businesses, and experiences in communities across the United States. Features of the Platform include, without limitation: (i) event listings and discovery; (ii) digital passport programs, in which consumers check in at participating locations, earn stamps, and complete challenges; (iii) scavenger hunts and location-based challenges; (iv) ticket purchasing for events; (v) milestones and rewards programs; and (vi) white-label mobile and web applications branded by our Partners.

4.2 Partner Content. Content available on the Platform — including event listings, business descriptions, passport programs, scavenger hunt details, ticket offerings, promotional materials, and other information — is provided by our Partners and the businesses and organizations featured on the Platform (“Partner Content”). Beacon Mobile does not create, verify, endorse, or guarantee the accuracy, completeness, timeliness, or reliability of Partner Content. Your reliance on Partner Content is at your own risk. Each Partner is solely responsible for the accuracy of its content and the quality, safety, and legality of the events, goods, and services it offers.

4.3 Availability. Beacon Mobile will use commercially reasonable efforts to make the Platform available 24 hours a day, 7 days a week, except for: (i) planned downtime, of which Beacon Mobile will endeavor to provide advance notice; and (ii) unavailability caused by circumstances beyond Beacon Mobile’s reasonable control, including without limitation acts of God, acts of government, floods, fires, earthquakes, civil unrest, acts of terror, strikes or other labor problems, internet service provider failures or delays, or denial of service attacks.

4.4 Modifications. Beacon Mobile reserves the right at any time to modify or discontinue, temporarily or permanently, the Platform or any feature thereof, with or without notice. Beacon Mobile shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Platform.

5. Ticket Purchases and Payments

5.1 Marketplace; Not Merchant of Record. The Platform acts as a marketplace that facilitates ticket purchases between you and our Partners. When you purchase a ticket through the Platform, you are purchasing directly from the Partner that is offering the event or experience (the “Selling Partner”). The Selling Partner is the merchant of record and the seller of the ticket. Beacon Mobile is not the seller, does not hold your purchase funds, and is not a party to the transaction between you and the Selling Partner.

5.2 Payment Processing. Payments are processed through our third-party payment processor, Stripe, Inc. (“Stripe”). By making a purchase, you agree to Stripe’s terms of service and privacy policy as applicable to you. Your payment card information is collected and processed directly by Stripe. Beacon Mobile does not receive, store, or have access to your full payment card number, expiration date, or security code.

5.3 Platform Service Fee. Beacon Mobile may charge a non-refundable platform service fee on each transaction, which will be displayed to you before you complete your purchase. The platform service fee compensates Beacon Mobile for facilitating the transaction and is earned upon completion of the purchase.

5.4 Pricing. All ticket prices are set by the Selling Partner. Beacon Mobile does not control ticket prices and is not responsible for pricing errors or changes made by the Selling Partner. The total amount due, including any applicable platform service fee and taxes, will be displayed to you before you confirm your purchase.

5.5 Refunds and Cancellations. Refund and cancellation policies are set and administered by the Selling Partner, not by Beacon Mobile. If you seek a refund for a ticket purchase, you must contact the Selling Partner directly or through the Platform’s support features. Beacon Mobile does not determine, approve, or process refunds. Because the platform service fee compensates Beacon Mobile for facilitating the completed transaction, the platform service fee is non-refundable regardless of whether the Selling Partner issues a refund of the ticket price. Beacon Mobile is not liable for any Selling Partner’s failure to issue a refund or for any event cancellation, postponement, or change.

5.6 Disputes. If you have a dispute regarding a ticket purchase, including the quality, safety, or occurrence of an event, your dispute is with the Selling Partner. Beacon Mobile will use commercially reasonable efforts to facilitate communication between you and the Selling Partner but is not responsible for resolving purchase disputes. If you initiate a chargeback or payment dispute with your bank or payment card issuer, Beacon Mobile reserves the right to suspend your account pending resolution.

6. Digital Passports, Scavenger Hunts, and Rewards

6.1 Program Participation. Digital passport programs, scavenger hunts, challenges, milestones, and rewards programs (collectively, “Programs”) are created and administered by our Partners. Beacon Mobile provides the technology platform; the Partner determines the rules, locations, rewards, and availability of each Program. You must have an active account to participate in Programs.

6.2 Check-Ins. To record a check-in at a participating location, you may be required to scan a QR code at the location or manually confirm your check-in within the Platform. Check-ins are active, user-initiated actions. The Platform does not passively track or record your geographic location. When you complete a check-in, the Platform records the check-in event (including the location, date, and time) but does not collect or store GPS coordinates or continuous location data.

6.3 Rewards. Any rewards, prizes, stamps, badges, or other incentives offered through a Program are provided by the Partner, not by Beacon Mobile. Beacon Mobile makes no representations or warranties regarding the availability, value, quality, or delivery of any reward. Rewards have no cash value unless expressly stated by the Partner. Partners may modify or discontinue rewards at any time.

6.4 Program Activity Data. Your participation in Programs generates activity data, including check-ins, stamps earned, passport progress, scavenger hunt completions, milestones achieved, and rewards earned (“Program Activity Data”). Program Activity Data is associated with your account and may be shared with the Partner that administers the applicable Program. Please see our Privacy Policy for details on how Program Activity Data is collected, used, and shared.

7. User Conduct

You shall not: (i) use manual or automated software, devices, scripts, robots, or other means to access, scrape, crawl, or spider any content or web pages on or relating to the Platform; (ii) reproduce, duplicate, copy, sell, or resell any portion of the Platform without Beacon Mobile’s prior written consent; (iii) transmit any worms, viruses, or code of a destructive nature; (iv) use the Platform for purposes of monitoring its availability, performance, or functionality, or for any benchmarking or competitive purposes; (v) manipulate, falsify, or fraudulently record check-ins, passport stamps, scavenger hunt completions, rewards, or any other Program Activity Data; (vi) create multiple accounts to circumvent Program rules or accumulate rewards fraudulently; (vii) attempt to purchase tickets using fraudulent payment methods or information; or (viii) use the Platform in any manner that violates these Terms or any applicable law.

8. SMS Messaging Program

8.1 Program Description. Beacon Mobile may operate SMS messaging programs through the Platform (collectively, the “SMS Program”) to send users informational, transactional, and occasional promotional messages related to events, experiences, and community activities. Message frequency varies depending on the programs and communities you engage with.

8.2 Separate Opt-In Required. Creating an account on the Platform does not enroll you in the SMS Program. The phone number you provide at account creation is used for account identification and login only. Enrollment in the SMS Program requires a separate, affirmative opt-in through one of the following methods:

8.2(a) Web Form Opt-In (Primary). You may opt in by completing the web-based opt-in form (currently located at ask.brightrhq.com/signup). At the time of submission, you must actively check the consent checkbox (which is unchecked by default), affirm that you are at least eighteen (18) years of age, and agree to receive autodialed informational and promotional text messages from Beacon Mobile. The consent checkbox must display, at minimum: (i) a description of the types of messages you will receive; (ii) that message frequency varies and message and data rates may apply; (iii) that consent is not a condition of any purchase; (iv) instructions for opting out (reply STOP) and obtaining help (reply HELP); and (v) links to these Terms and the Privacy Policy. Your opt-in is complete upon submission of the form with the consent checkbox checked. You will receive a confirmation message acknowledging your enrollment.

8.2(b) Keyword Opt-In (Secondary; Double Opt-In Required). You may initiate the opt-in process by texting a designated keyword to Beacon Mobile’s messaging number in response to published instructions at a participating event or on event materials. Texting the keyword alone does not constitute consent and does not complete your enrollment. Upon receiving your keyword message, Beacon Mobile will send you a single confirmation message that includes: (i) a description of the SMS Program and the types of messages you will receive; (ii) a request that you affirm you are at least eighteen (18) years of age; (iii) a disclosure that message frequency varies and message and data rates may apply; (iv) a statement that consent is not a condition of any purchase; (v) instructions for opting out (reply STOP) and obtaining help (reply HELP); (vi) links to these Terms and the Privacy Policy; and (vii) a prompt to reply with an affirmative keyword (e.g., “YES”) to confirm your enrollment. Your opt-in is complete only upon Beacon Mobile’s receipt of your affirmative reply to the confirmation message. If you do not reply to the confirmation message, you will not be enrolled in the SMS Program and will not receive any further messages. Beacon Mobile retains the confirmation message content, your affirmative reply, and the associated timestamp as part of your consent record.

8.2(c) General. Standard message and data rates may apply to messages sent and received in connection with the SMS Program, including during the opt-in process described in Section 8.2(b). Your consent to receive messages is not a condition of purchasing any goods or services from Beacon Mobile, any Partner, or any event organizer.

8.3 Opt-Out. You may opt out of the SMS Program at any time by: (i) replying STOP to any message you receive from us; (ii) emailing support@brightrhq.com with the subject line “SMS Opt-Out” and including the phone number you wish to unenroll; or (iii) any other reasonable method that clearly communicates your intent to stop receiving messages. We will process your opt-out request promptly and send a single confirmation message confirming your unenrollment. After opting out, you will not receive further messages unless you opt in again. Opting out of the SMS Program does not delete your Platform account or affect your ability to use the Platform.

8.4 Help. For help or questions about the SMS Program, reply HELP to any message you receive from us, or contact support@brightrhq.com.

8.5 No Sharing of SMS Opt-In Data. Mobile phone numbers and consent records collected for the SMS Program will not be sold, rented, or shared with third parties or affiliates for their marketing or promotional purposes.

8.6 Supported Carriers. The SMS Program is designed to work with major U.S. mobile carriers. Beacon Mobile is not responsible for messages that are delayed or undelivered due to carrier network issues.

8.7 Privacy. Your use of the SMS Program is subject to Beacon Mobile’s Privacy Policy, available at /privacy-policy.

9. Intellectual Property

9.1 Beacon Mobile Property. All content created by Beacon Mobile and available through the Platform, including the Platform’s look and feel, page headers, custom graphics, button icons, scripts, and underlying software, is the sole and exclusive property of Beacon Mobile and is protected by applicable copyright and other intellectual property laws. All rights are reserved. You may not duplicate, copy, distribute, or reuse any portion of Beacon Mobile’s proprietary content or visual design elements without Beacon Mobile’s prior written consent.

9.2 Partner Content. Partner Content is the property of the respective Partner or its licensors. Beacon Mobile does not claim ownership of Partner Content. Beacon Mobile does not pre-screen Partner Content but reserves the right (without obligation) to remove any content that it determines, in its sole discretion, violates these Terms or is otherwise objectionable.

9.3 User Content. By submitting content to the Platform (such as reviews, photos, or other materials), you grant Beacon Mobile and the applicable Partner a non-exclusive, royalty-free, worldwide, sublicensable license to use, reproduce, modify, display, and distribute such content in connection with the operation of the Platform. You represent and warrant that you own or have the necessary rights to submit such content and that it does not infringe any third party’s rights.

10. Trademarks

The Brightr, Brightr Travel, and Beacon Mobile logos and any other product or service name or slogan contained in the Platform are trademarks of Beacon Mobile, Inc. and its suppliers or licensors, and may not be copied, imitated, or used, in whole or in part, without the prior written permission of Beacon Mobile or the applicable trademark holder. You may not use any metatags or other hidden text utilizing “Beacon Mobile,” “Brightr,” “Brightr Travel,” or any other name, trademark, or product or service name of Beacon Mobile without Beacon Mobile’s prior written permission. All other trademarks, registered trademarks, product names, and company names or logos mentioned in the Platform are the property of their respective owners.

11. Copyright Policy

Beacon Mobile respects the intellectual property rights of others and has implemented a copyright policy in accordance with the Digital Millennium Copyright Act (“DMCA”) and other relevant laws. Beacon Mobile will respond to valid notices of copyright infringement and reserves the right to terminate, at its sole discretion and without notice, the accounts of users who repeatedly infringe copyrights or other intellectual property rights.

11.1 DMCA Notices. If you believe any content posted or made available through the Platform constitutes infringement of your copyright, you may send a written notice of infringement to Beacon Mobile’s designated Copyright Agent. Your notice must include: (i) an electronic or physical signature of the copyright owner or a person authorized to act on the owner’s behalf; (ii) a description of the copyrighted work claimed to have been infringed and identification of the infringing material, including its location on the Platform; (iii) your name, title, address, telephone number, and email address; (iv) a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and (v) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.

12. Disclaimer of Warranties

YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK. THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BEACON MOBILE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BEACON MOBILE DOES NOT WARRANT THAT: (i) THE PLATFORM WILL MEET YOUR SPECIFIC REQUIREMENTS; (ii) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (iii) THE RESULTS OBTAINED FROM THE PLATFORM WILL BE ACCURATE OR RELIABLE; (iv) THE QUALITY OF ANY INFORMATION OBTAINED THROUGH THE PLATFORM WILL MEET YOUR EXPECTATIONS; OR (v) ANY ERRORS IN THE PLATFORM WILL BE CORRECTED. BEACON MOBILE DOES NOT WARRANT OR GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY PARTNER CONTENT, INCLUDING WITHOUT LIMITATION EVENT LISTINGS, TICKET AVAILABILITY, BUSINESS INFORMATION, PASSPORT PROGRAM DETAILS, SCAVENGER HUNT INSTRUCTIONS, REWARDS, OR ANY OTHER INFORMATION PROVIDED BY PARTNERS. BEACON MOBILE IS NOT RESPONSIBLE FOR THE QUALITY, SAFETY, LEGALITY, OR ANY OTHER ASPECT OF ANY EVENT, GOOD, OR SERVICE OFFERED BY A PARTNER THROUGH THE PLATFORM.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BEACON MOBILE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF BEACON MOBILE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH: (i) YOUR USE OF OR INABILITY TO USE THE PLATFORM; (ii) ANY TICKET PURCHASE, EVENT ATTENDANCE, OR TRANSACTION WITH A PARTNER; (iii) ANY EVENT CANCELLATION, POSTPONEMENT, OR CHANGE BY A PARTNER; (iv) ANY REWARDS, PRIZES, OR INCENTIVES OFFERED OR NOT DELIVERED BY A PARTNER; (v) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (vi) STATEMENTS, CONTENT, OR CONDUCT OF ANY THIRD PARTY OR PARTNER ON OR THROUGH THE PLATFORM; (vii) ANY MESSAGES SENT OR NOT SENT THROUGH THE SMS PROGRAM; OR (viii) ANY OTHER MATTER RELATING TO THE PLATFORM. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BEACON MOBILE’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THE PLATFORM OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00). THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, BEACON MOBILE’S LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.

14. Indemnification

You agree to indemnify, defend, and hold harmless Beacon Mobile, its officers, directors, employees, agents, and successors from and against any and all claims, demands, suits, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (i) your use of the Platform in violation of these Terms; (ii) your violation of any applicable law, rule, or regulation; (iii) any claim that content you submit infringes or misappropriates the intellectual property or proprietary rights of a third party; (iv) any content or data you submit, post, or transmit through the Platform; or (v) any fraudulent or unauthorized use of your account.

15. Dispute Resolution; Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

15.1 Informal Resolution. Before initiating any arbitration or court proceeding, you and Beacon Mobile each agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Platform (“Dispute”) informally. The party raising the Dispute shall send the other party a written notice describing the Dispute and the relief sought (a “Dispute Notice”). Dispute Notices to Beacon Mobile must be sent to: Beacon Mobile, Inc., ATTN: Legal, 41 University Drive, Suite 400, Newtown, PA 18940, or by email to matt@brightrhq.com. The parties shall attempt to resolve the Dispute through good-faith negotiation for thirty (30) days after the Dispute Notice is received. If the Dispute is not resolved within that period, either party may proceed to arbitration as set forth below.

15.2 Binding Arbitration. If a Dispute is not resolved through informal resolution, you and Beacon Mobile agree that such Dispute shall be resolved exclusively through final and binding arbitration, rather than in court, except that either party may bring an individual action in small claims court if the claim qualifies. The arbitration shall be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, which are available at www.adr.org. The arbitration shall be conducted by a single arbitrator, in Bucks County, Pennsylvania (or, at your election, by telephone or videoconference if you reside outside of Pennsylvania). The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or any part of this arbitration agreement is void or voidable. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

15.3 Class Action Waiver. YOU AND BEACON MOBILE EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Neither you nor Beacon Mobile shall be entitled to join or consolidate claims in arbitration by or against other individuals or entities, or arbitrate or litigate any Dispute on a class-wide or representative basis. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a class or representative proceeding. If this class action waiver is found to be unenforceable, then the entirety of this arbitration agreement (Section 15) shall be null and void, and the Dispute shall proceed in court subject to Section 16.

15.4 Opt-Out. You may opt out of this arbitration agreement by sending written notice to Beacon Mobile at the address in Section 15.1 within thirty (30) days of first accepting these Terms. Your notice must include your name, mailing address, and a clear statement that you wish to opt out of arbitration. If you opt out, neither party is precluded from seeking remedies in court. If you do not opt out, you will be bound by this arbitration agreement.

15.5 Fees. Each party shall bear its own attorneys’ fees and costs. AAA filing and administration fees and arbitrator fees shall be governed by AAA rules.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws principles. For any Dispute not subject to arbitration under Section 15 (including Disputes where the arbitration agreement is found unenforceable, or Disputes brought in small claims court), you and Beacon Mobile agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Bucks County, Pennsylvania.

17. Termination

Beacon Mobile, in its sole discretion, may suspend or terminate your account and refuse any and all current or future use of the Platform for any reason at any time. Such termination may result in the deactivation or deletion of your account, your Program Activity Data, and your access to the Platform. Beacon Mobile reserves the right to refuse service to anyone for any reason at any time. Upon termination, any accumulated rewards, passport progress, or other Program benefits associated with your account may be forfeited.

18. General Provisions

18.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Beacon Mobile regarding your use of the Platform as a consumer, superseding any prior agreements between you and Beacon Mobile, including any prior versions of these Terms. These Terms do not govern the relationship between Beacon Mobile and its Partners, which is subject to a separate agreement.

18.2 Severability. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

18.3 Waiver. The failure of Beacon Mobile to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment. Beacon Mobile may assign its rights and obligations under these Terms without your consent. You may not assign your rights or obligations under these Terms without Beacon Mobile’s prior written consent.
